Terms of Service

You must provide accurate account information, protect your sign-in credentials, and tell us promptly if you believe someone has used your account without permission. You are responsible for the activity carried out through your account and for giving each person who uses your business workspace the access they need.

A person who creates or manages a business workspace must have authority to act for that business. Each business owner is responsible for invitations, roles, and access granted to its members.

Semart provides software for business operations, including point of sale, inventory, contacts, invoicing, quotations, receipts, accounting records, and reporting. Features can change as we maintain and improve the service. We may schedule maintenance or temporarily limit a feature to protect the service or its users.

Semart provides tools for recording and organizing business information. You remain responsible for the accuracy of your records, decisions made using the service, and your legal, accounting, tax, and regulatory obligations. Semart is not your accountant, tax adviser, lawyer, bank, or payment processor.

An eligible account owner may receive one seven-day trial. The trial does not automatically become a paid subscription. To continue using paid features after the trial, the business owner must start a subscription.

The current Semart subscription is RM50 per month, billed through Curlec by Razorpay. The subscription price will be shown before you confirm a payment. By starting a subscription, the business owner authorizes recurring monthly charges through the payment method provided to Curlec until the subscription is cancelled or ends.

The business owner can request cancellation in the Semart billing area. Cancellation takes effect at the end of the current paid period; access remains available through that period. A failed or overdue payment may result in restricted access until the payment issue is resolved.

Subscription charges are generally non-refundable, including for unused time in a paid period. We may consider a goodwill refund on a case-by-case basis. This does not limit any right that cannot be excluded under applicable law. See our Refund Policy.

You retain your rights in the information and materials you submit to Semart ("Your Content"). You give Semart permission to host, store, back up, display, transmit, and otherwise process Your Content only as needed to provide, secure, support, and improve the service and meet legal obligations.

You must have the rights and permissions needed to enter or upload information, including personal data about other people. You are responsible for giving those people any notices required for your use of their information in your business.

You must not use Semart to:

• break the law or infringe another person's rights;
• access another account or business without permission;
• interfere with, damage, or attempt to bypass service security;
• upload malicious code or content you do not have permission to use; or
• reverse engineer or misuse the service except where the law allows it.

We may investigate suspected misuse and suspend access when reasonably needed to protect users, comply with law, or prevent harm. Where practical, we will give notice and an opportunity to address the issue.

Semart and its licensors own the service, software, branding, and related materials. These Terms give you a limited, non-exclusive, non-transferable right to use the service for your business while your account and any required subscription remain in good standing. No other rights are transferred to you.

Semartmoji includes artwork provided under third-party terms. Noto Emoji is licensed under Apache 2.0. See our artwork credits for source information, notices and full licence texts. Those terms apply to the artwork they cover.

Some features rely on services operated by others, including Curlec by Razorpay for subscription payments and Google Maps Platform for certain map and address features. Those services may have their own terms and privacy notices. Semart is not responsible for services outside our control.

You may stop using Semart at any time. Subscription cancellation follows Section 3. We may suspend or end access if you materially breach these Terms, a payment remains overdue, we are required to do so by law, or continued access creates a security or service risk. Where reasonably possible, we will give notice and explain the steps available to restore access.

When access ends, the rights to use the service end as well. Data handling after closure is described in our Privacy Policy. You should keep your own copies of records you need.

We provide the service with reasonable care, but cannot promise that it will always be available, error-free, or suitable for every business purpose. To the extent permitted by law, Semart excludes implied warranties and is not liable for indirect or consequential loss arising from use of the service.

Nothing in these Terms excludes or limits a liability or consumer right that cannot legally be excluded or limited. Any other liability limits are subject to applicable law.

We may update these Terms as the service or law changes. We will publish the updated version here and change the date above. If a change materially affects your use, we will take reasonable steps to notify you. Continued use after the effective date of an update is subject to the updated Terms, to the extent permitted by law.
